Art Gallery Exhibition Agreement

This Art Gallery Exhibition Agreement ("Agreement") is made and entered into as of April 28, 2025,

by and between

Bushwick Gallery, a New York business with its principal place of business at 22 Fayette St, Brooklyn, NY 11206 ("Gallery"),

and

Dorsaf Dhouioui, an individual with an address on file ("Artist").


Article 1. PURPOSE AND SCOPE

  • Exhibition Title & Dates: The Artist agrees to exhibit a solo collection at Bushwick Gallery from March 6 to March 13, 2026.
  • Scope of Exhibition:
  • Exclusive gallery access, featuring 12 painting spaces and 3 sculpture pillars.
  • Private opening event dedicated solely to showcasing the Artist’s collection (March 6, 6–8 PM).
  • 7-day appointment-only viewing to ensure a personalized visitor experience.
  • Flexibility to use sculpture pillars for small works, artist statements, or multimedia display.

Article 2. FINANCIAL TERMS

  • Exhibition Fee: The Artist agrees to pay the Gallery a total fee of $4,600.00 USD, payable via a payment link provided by the Gallery. This fee is non-refundable.
  • Commission: The Gallery shall retain a 20% commission on all artwork sales during the exhibition. The Artist shall retain 80% of sales proceeds and is responsible for applicable taxes.
  • Payment Terms: Full payment is due upon signing.

Article 3. ARTWORK OWNERSHIP AND SALES

  • Ownership & Representation: The Artist affirms they are the lawful owner of all exhibited artworks and that the works are free of third-party claims.
  • Pricing & Sales:
  • The Artist shall set all prices for artworks in advance.
  • The Gallery shall facilitate sales transactions and remit payment to the Artist within 30 business days of receiving funds.
  • The Artist is responsible for packing, shipping, and all post-sale logistics.

Article 4. MARKETING & PROMOTION

  • Gallery Responsibilities:
  • Provide a press outreach assistant to help engage media outlets and relevant publications.
  • Include the Artist in Bushwick Gallery’s promotional planning for the exhibition.
  • Artist Requirements: An updated biography and headshot must be submitted by January 15, 2026.
  • Article 5. INSURANCE & LIABILITY

    • Insurance: The Gallery will insure all artworks for their full market value against loss or damage while on site.
    • Handling & Transportation:
    • The Artist is responsible for the safe delivery and pickup of all artwork.
    • The Gallery will handle and present all artwork professionally while in its care.

    Article 6. TERMINATION & CANCELLATION

    • Termination by Artist: The Artist may cancel this Agreement with 30 days’ written notice. The exhibition fee is non-refundable.
    • Termination by Gallery: The Gallery may cancel the Agreement with 7 days’ written notice. In that case, the Artist shall receive a full refund.
    • Return of Artwork: Unsold artworks must be collected within 3 days of the exhibition closing. Late pickups may incur storage fees.

    Article 7. MISCELLANEOUS PROVISIONS

    • Entire Agreement: This Agreement represents the full understanding between the Parties and supersedes prior discussions.
    • Amendments: All modifications must be in writing and signed by both parties.
    • Governing Law: This Agreement shall be governed by the laws of the State of New York.
    • Severability: If any clause is deemed invalid, the remaining provisions shall remain enforceable.
    • Media Use: The Gallery may use photos and materials from the exhibition for marketing and archives. The Artist retains copyright of all artwork.
    • Electronic Signatures: Digital execution of this Agreement is valid and binding.
